Welcome to SDWeddingDirectory. These Terms of Use (“Terms”) govern your access to and use of our website, directories, planning tools, wedding websites, messaging systems, and related services (collectively, the “Services”). By using the Services, you agree to these Terms.
1. Acceptance of Terms
If you do not agree to these Terms, do not use the Services. We may update these Terms from time to time by posting a revised version on this page. Continued use after changes become effective means you accept the updated Terms.
2. Eligibility and Accounts
You must be at least 18 years old to create an account or use the interactive features of the Services.
You agree to:
- provide accurate information
- maintain the confidentiality of your login credentials
- be responsible for activity occurring under your account
- notify us promptly of unauthorized account use
We reserve the right to suspend or terminate accounts that violate these Terms or create risk for the platform or its users.
3. Nature of Our Services
SDWeddingDirectory provides a platform for couples and wedding professionals to discover, compare, and connect.
We are not:
- a booking agency
- an event coordinator
- an employer
- an insurer
- an agent for vendors or couples
We are not a party to contracts, negotiations, or disputes between users and vendors.
SDWeddingDirectory was built as a direct connection platform between couples and vendors. We do not operate a lead-selling marketplace and do not sell user personal information to advertising brokers or data resellers.
4. Listings, Reviews, and User Content
Users may submit listings, photos, videos, reviews, wedding websites, messages, and other content (“User Content”).
You retain ownership of your User Content. By submitting content, you grant SDWeddingDirectory a non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify for formatting purposes, distribute, and promote that content in connection with operating the Services.
You represent that:
- you own or have permission to use submitted content
- your content does not violate laws or third-party rights
- your content is accurate and not misleading
5. Vendor Listings
SDWeddingDirectory may create informational vendor or venue listings using publicly available business information. Business owners may claim and manage their listings.
Vendors are solely responsible for:
- pricing
- contracts
- availability
- licensing
- service quality
- communication with users
- business conduct
We do not verify or guarantee vendor quality, availability, legality, licensing status, or outcomes.
6. Prohibited Conduct
You agree not to:
- use the Services for unlawful, harmful, fraudulent, or deceptive activity
- post false, misleading, defamatory, infringing, or abusive content
- scrape, crawl, or collect data from the Services without authorization
- attempt to bypass security controls or interfere with system integrity
- impersonate another person or business
- use automated means to create accounts, send spam, or manipulate metrics
- upload malicious code or harmful software
- harass, threaten, or discriminate against users
7. Vendor and Client Interactions
Any transaction, booking, agreement, dispute, or service issue between users and vendors is solely between those parties.
Users interact with vendors and other users at their own risk.
8. Intellectual Property
Except for User Content, all content and materials in the Services, including text, graphics, logos, software, branding, layouts, and trademarks, are owned by SDWeddingDirectory or its licensors and protected by intellectual property laws.
You may not:
- reproduce site content
- reverse engineer the platform
- create derivative works
- use automated systems to access the Services
- copy substantial portions of the platform without written permission
9. Third-Party Links and Services
The Services may contain links to third-party websites and services. We are not responsible for third-party content, policies, or practices.
10. Privacy
Your use of the Services is also governed by our Privacy Policy and California Privacy Notice.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SDWEDDINGDIRECTORY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) ONE HUNDRED U.S. DOLLARS (US $100)
OR
(B) THE AMOUNT YOU PAID TO US, IF ANY, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
13. Indemnification
You agree to defend, indemnify, and hold harmless SDWeddingDirectory and its affiliates from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your use of the Services
- your User Content
- your violation of these Terms
- disputes between users
14. Termination
We may suspend or terminate access to the Services at any time, with or without notice, if we believe you violated these Terms, created legal risk, or harmed the Services or users.
15. Governing Law
These Terms are governed by the laws of the State of California.
Subject to applicable law, legal actions relating to these Terms or the Services shall be brought in the state or federal courts located in San Diego County, California, and you consent to that jurisdiction and venue.
16. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
Our failure to enforce any provision is not a waiver of our rights.
These Terms constitute the entire agreement between you and SDWeddingDirectory regarding the Services.
